K&L Gates Advises Tyler Technologies on US$1.4375 Billion Convertible Notes Offering
20 Mei 2026Global law firm K&L Gates LLP advised Tyler Technologies, Inc. (NYSE: TYL), a provider of integrated software and technology services to the public sector, on its offering of US$1.4375 billion aggregate principal amount of 0.50% Convertible Senior Notes due 2031.
The notes were issued in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. The offering included the exercise in full of the option granted to the initial purchasers to purchase up to an additional US$187.5 million aggregate principal amount of notes.
In connection with the offering, Tyler Technologies entered into capped call transactions to increase the effective conversion price of the notes and completed a repurchase of its common stock.
